A trade name—also known as an assumed name, fictitious name, or doing-business-as (DBA or d/b/a) name—is a name a business uses for advertising and trade purposes—often because it is shorter, easier to remember, and more effective for marketing the business than the registered or legal name.

If you plan to use a different name for your business than the name you registered with your state (NewCo, LLC), you may need to file a fictitious name or d/b/a statement with the county in which your business is located.

In Minnesota, if a business wishes to operate under a name different from its legal name, it must file for an assumed name, commonly known as a 'doing business as' (DBA) name. This requirement applies to all types of businesses, including sole proprietorships, partnerships, LLCs, and corporations. The process involves registering the assumed name with the Minnesota Secretary of State. The registration ensures that the public can identify the actual owners of a business. It is important to search the state's business name database before filing to ensure the desired DBA name is not already in use. Once registered, the assumed name must be renewed every year to remain active. Failure to register an assumed name when required can result in penalties and may also affect the business's ability to bring a lawsuit in the state's courts under that name.
